Nayavo Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nayavo platform, website, and mobile applications (the “Service”), operated by Nayavo Studio Private Limited (“Nayavo”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information and for all activity under your account, and for keeping your credentials secure.

2. Subscriptions, trials & billing

• Paid plans are billed in advance on a recurring monthly basis unless stated otherwise.
• Free trials convert to a paid subscription at the end of the trial period unless cancelled beforehand.
• You can cancel at any time; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
• We may change plan features or pricing with reasonable advance notice.

3. Acceptable use

You agree not to use the Service to:

• Violate any law or the policies of connected platforms (including Shopify, Meta, and Google).
• Publish content that is unlawful, infringing, deceptive, or harmful.
• Attempt to access, disrupt, or reverse-engineer the Service or its security.
• Misuse AI features to generate prohibited, fraudulent, or misleading content.

4. Your content

You retain ownership of the brand assets, media, text, and other content you upload to, or create or generate using, the Service — including AI-generated images, videos, captions, and other media (collectively, “Your Content”). You grant Nayavo a limited licence to host, process, and transmit Your Content solely to operate the Service and the features you enable.

You are solely responsible for Your Content. This includes ensuring that you own or have all rights, licences, and consents needed to create, upload, use, and publish it to connected channels; that it does not infringe any third party’s intellectual property, privacy, publicity, or other rights; and that it complies with all applicable laws and the policies of the platforms you publish to. Nayavo does not review, endorse, or assume any responsibility or liability for Your Content or for how you use it.

5. Third-party integrations

The Service integrates with third-party platforms that have their own terms and policies. Your use of those integrations is also governed by their terms, and we are not responsible for the availability or actions of third-party platforms.

6. AI-generated output

The Service uses artificial intelligence to help you create content — including generating videos, images, captions, and other media — at your direction and based on the inputs and materials you provide. Any such AI-generated output forms part of Your Content, and you are solely responsible for it.

AI output may be inaccurate, unoriginal, or unsuitable. You must review, edit, and approve all AI-generated content before using or publishing it, and you are responsible for ensuring your use of it does not infringe any third party’s rights or violate any law or platform policy. To the extent permitted by law, ownership of AI-generated output belongs to you. Nayavo makes no warranty regarding the accuracy, originality, or fitness of AI-generated output and is not liable for your use of it.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by Nayavo and its licensors. These Terms do not grant you any right to our trademarks or branding except as necessary to use the Service.

8. Disclaimers & liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, Nayavo will not be liable for indirect, incidental, or consequential damages, and our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk or legal exposure. You may stop using the Service and close your account at any time.

10. Governing law & changes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. We may update these Terms from time to time; continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
